Re. : Annual Dividend Payment and Sets Date for Ordinary General Meeting of Shareholders
The Board of Directors of Amata Corporation Public Company Limited at a meeting No. 2/2009 held on March 27, 2009 at 15:00 hrs. had passed the following resolutions:
1. That the annual dividend payment from the operating performance from January 1 to December 31, 2008 will be paid at 0.10 baht per share from BOI promoted activities. This dividend distribution of Baht 0.10 per share is an additional dividend payment following the interim dividend payment of Baht 0.20 per share paid under the resolution of the Board of Director Meeting No. 6/2008. So, total dividend payment from the operating performance from January 1, 2008 to December 31, 2008 will be Baht 0.30 per share or equivalent to 36.86% of the net profit of the separate financial statements for the year then ended.
The above dividend distribution shall be payable to the Shareholders entitling to receive the dividend according to the Company's Articles of Association and to whom listed in the record date on Friday, May 15, 2009 and the share register book shall be closed for the right to receive the dividend on Monday, May 18, 2009. The dividend payment will be made on Friday, May 29, 2009.
2. That an ordinary general meeting of shareholders for the year 2009 should be held on April 30, 2009 from 14:00 hrs. to 15:30 hrs. at the Conference Room, 6th floor, Amata office, No 2126 Kromadit Bldg., New Petchburi Rd., Bangkapi, Huay Kwang, Bangkok 10320.
3. That the Record Date for the right to attend the meeting will be on Friday, April 10, 2009 and collect the names of shareholders as stipulated in the Securities and Exchange Act B.E. 2535, Section 225 by closing the share registration book on Thursday, April 16, 2009.
4. That the agenda for the meeting will be as follow:
4.1 Certify the minutes of the Ordinary General Meeting of Shareholders for the Year 2008, held on April 30, 2008.
4.2 Certify the company's annual report and the board of director's report for 2008.
4.3 Consider the Company's balance sheet and the statements of profit & loss for the year ended December 31, 2008.
4.4 Consider the retained earnings appropriated as a legal reserve and the distribution of dividend from the operating performance from January 1 - December 31, 2008.
4.5 Consider the election of directors in place of those whose terms are to be expired and the Director's Authority.
4.6 Consider the remuneration for the Company's Directors.
4.7 Consider the Indemnification of Directors.
4.8 Consider the appointment of the Company's Auditor and the remuneration for the year 2009.
4.9 Other matters (if any).
